Terms of Service

Terms for using Zalari’s early research preview, experimental drafting, and available team or private deployment arrangements.

Agreement and scope

These Terms of Service govern your use of Zalari, provided by DeepCounsel. By accessing or using the service, you agree to these terms. If you do not agree, do not use the service. If you act for an organization, you must have authority to accept terms on its behalf.

Read these terms together with the Privacy Policy and any written arrangement for your team workspace or private deployment. The configuration, fees, support, and data-handling terms for an organizational arrangement should be agreed before use.

The research preview

Zalari is an early Southern African case-law research preview. Insider costs $30 and Vanguard $49 per seat per month, subject to the plan and account terms displayed in the app. Team workspaces and private deployments are available, with their configuration agreed for each organization.

Research results, AI answers, and citations can be incomplete or mistaken. Inspect the original judgment and independently check its relevance, authority, currency, and accuracy before relying on a result. The preview does not provide a complete or current statement of the law.

Drafting is experimental. Evaluate it using sample, non-confidential material. Do not use its output for client advice, court filing, or other production legal work.

Accounts and responsible use

Provide accurate, current information requested during registration. Safeguard your credentials and contact us promptly if you suspect unauthorized account access. Use strong, unique passwords and any additional security options available for your account.

You may use Zalari for lawful research and evaluation. Access does not authorize anyone to provide legal services. Professional users remain responsible for their competence, supervision, client duties, and the rules that apply to their work.

Do not upload confidential or privileged material until the data-handling terms and controls for your account or deployment have been confirmed. Upload only material you have authority to process and share, including any permissions or consents needed for client or third-party information.

Prohibited use

You must not use Zalari unlawfully, disclose information improperly, infringe another person's rights, upload malicious code, gain unauthorized access, circumvent access controls or usage limits, or disrupt the service or other users.

You must not attempt to reverse engineer the service's proprietary models or technology, use the service to train competing AI systems, or commercially exploit our intellectual property without written permission. These restrictions apply to the extent permitted by law.

Your content and intellectual property

You retain the rights you hold in material you submit. Providing it to Zalari does not transfer ownership to DeepCounsel. You authorize us to process it to provide the service you request, subject to the applicable privacy and deployment terms.

We do not claim ownership of your legal work product. Rights in generated output depend on applicable law and any third-party material it contains. AI-generated content may not qualify for copyright protection. Do not assume that an output is original, accurate, or free of third-party rights.

The service's software, interfaces, databases, trademarks, and other proprietary technology belong to DeepCounsel or the relevant rights holders. These terms grant a limited, non-exclusive, non-transferable, revocable right to use the service in accordance with these terms. They do not grant ownership of its technology or source code.

Professional responsibility

Zalari is a technology service. Its use does not create a lawyer-client relationship with DeepCounsel or provide legal advice. Qualified practitioners remain responsible for their legal decisions and work product. Independent source checking and professional judgment are necessary; experimental drafting remains unsuitable for production legal work.

If you use technology in a legal practice, you are responsible for assessing the professional duties and insurance requirements that apply to that work.

Information handling

Review the Privacy Policy and the terms for your account before submitting sensitive information. Confirm model providers, training terms, staff access, security controls, processing locations, and retention and deletion arrangements relevant to your use.

Where available, the app provides export and deletion controls in account settings. These controls do not establish a deletion schedule for every backup, diagnostic log, payment record, provider-held record, or email. Contact us if you need the scope or timing of deletion confirmed.

Subscriptions and paid arrangements

The two paid app plans are Insider at $30 and Vanguard at $49 per seat per month. Review the included AI allowance and usage limits before purchasing. Any limited evaluation access offered in the app is separate from these paid subscriptions and does not include every plan feature.

If you choose a paid option, review its price, allowance, payment method, term, renewal conditions, and cancellation terms before agreeing to it. Fees and payment terms for a team workspace or private deployment are set by the arrangement agreed with your organization. Changes to a paid arrangement are governed by its applicable terms.

Availability and changes

The preview can change as the product develops. Features may be updated, restricted, or discontinued, and access may be interrupted by maintenance or other service issues. We do not guarantee uninterrupted availability. Any agreed service commitments for an organizational deployment are governed by that arrangement.

Disclaimers and liability

To the extent permitted by law, the service is provided “as is” and “as available”, without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant the accuracy, completeness, or suitability of AI-generated content.

To the maximum extent permitted by law, DeepCounsel is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service. Our total liability for claims under these terms will not exceed the amount you paid to us in the twelve months preceding the claim. Nothing in these terms excludes rights or liability that applicable law does not allow to be excluded.

Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless DeepCounsel and its affiliates, officers, directors, employees, and agents against claims, damages, losses, and expenses arising from your use of the service, breach of these terms, or violation of another person's rights.

Ending use

You may stop using the service and use the account deletion control where available, or contact us for assistance. Account deletion, cancellation of a paid arrangement, and deletion of provider-held records can have different scopes. Check the relevant terms before ending a paid arrangement or deleting work.

We may restrict or terminate access for breach of these terms, prohibited activity, or a legal requirement. You remain responsible for fees already incurred under an applicable paid arrangement. Provisions intended to survive termination, including intellectual property, disclaimers, and liability provisions, continue to apply.

Governing law and general terms

These terms are governed by the laws of Zimbabwe, without regard to conflict of laws principles. Disputes under these terms are subject to the exclusive jurisdiction of the courts of Zimbabwe, subject to any rights or requirements that applicable law does not allow to be excluded.

These terms, the Privacy Policy, and any applicable written service arrangement set out the agreement governing your use. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.

You may not assign your rights under these terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, subject to applicable law and notice to affected users.

Revisions will be posted on this page with an updated date. Review changes before continuing to use the service.
